1. Acceptance of Terms
These Terms of Service (“Terms”) govern your access to the website https://infracodez.com and all technical, engineering, and consulting services provided by InfraCodez.
By accessing our website, submitting a Service Request, approving a proposal, executing a Statement of Work (SOW), or paying an invoice, you (“Client,” “Customer,” or “you”) agree to be legally bound by these Terms.
2. Scope of Services
InfraCodez delivers technical and digital infrastructure services across eight primary disciplines:
- Web Development: Bespoke applications, CMS implementations (WordPress, Laravel, PHP), frontend/backend engineering, and responsive user interfaces.
- eCommerce: Storefront architecture, inventory system wiring, payment gateway integrations (Stripe, PayPal), checkout optimization, and WooCommerce/Shopify development.
- Domains & Hosting: Domain provisioning, registrar transfers, DNS record management, server deployment, SSL configuration, and environment setup.
- CRM Solutions: Pipeline automation, CRM configuration, form lead tracking, and third-party communications wiring.
- ERP Solutions: Operational tool integrations, database consolidation, workflow automation, and custom legacy migrations.
- Cloud Solutions: AWS/GCP architecture, server provisioning, containerization, disaster recovery planning, automated backups, and cloud migrations.
- Troubleshooting & Maintenance: Emergency debugging, ongoing security patch management, core/plugin testing, vulnerability mitigation, and performance monitoring.
- SEO Optimization: Technical audits, page speed engineering, crawlability audits, structured data implementation, and search architecture enhancements.
Specific deliverables, milestones, and timelines for individual engagements are defined in an agreed written estimate, proposal, or Statement of Work (SOW).
3. Client Responsibilities & Prerequisites
To ensure timely delivery, the Client agrees to:
- Provide Project Assets: Furnish all necessary project assets (copywriting, media, brand assets, product catalogs, font licenses, and software access) in a timely manner.
- Administrative Access: Provide authorized administrative access to development repositories, hosting servers, DNS panels, or third-party APIs required to execute the agreed scope.
- Timely Approvals: Review milestones, staging previews, and deliverables within five (5) business days of delivery. Project timelines are contingent upon prompt client feedback.
- Content Authorization: Warrant that all materials, trademarks, software licenses, and data provided to InfraCodez are legally owned or licensed by the Client and do not infringe third-party rights.
4. Estimates, Scoping & Change Orders
- Scoping Accuracy: Preliminary estimates are based on the parameters provided in the initial Service Request.
- Out of Scope Requests: Any requested feature, revision, workflow addition, or architectural change not explicitly defined in the initial SOW will be treated as an out-of-scope change request.
- Change Order Process: If a change request impacts architecture, timeline, or engineering hours, InfraCodez will issue a written Change Order specifying the revised fee and delivery schedule. Work on change requests begins upon written client approval.
5. Invoicing, Payments & Retainers
- Fixed-Price Project Milestones:
- An initial non-refundable deposit (typically 30% to 50%) due prior to project kickoff and resource allocation.
- Milestone progress payments linked to verified staging deliverables.
- Final balance payment due upon staging completion, prior to live production deployment, code release, or DNS cutover.
- Managed Retainers & Subscriptions: Ongoing maintenance, server monitoring, and retainer support are billed monthly or annually in advance and renew automatically unless cancelled in writing with thirty (30) days’ notice.
- Payment Terms & Late Accounts: Invoices are payable upon receipt or Net 15 as stated on the invoice. Accounts overdue by more than fourteen (14) calendar days may incur a late fee of 1.5% per month. InfraCodez reserves the right to pause active development or withhold production releases while balances remain delinquent.
6. Intellectual Property & Code Ownership
- Client Deliverables: Subject to full, final payment of all project invoices, InfraCodez assigns to the Client all worldwide rights, title, and ownership in and to the custom bespoke code, frontend design markup, and unique digital assets authored specifically for the Client under the agreed SOW.
- InfraCodez Tools & Pre-Existing IP: InfraCodez retains all rights in its pre-existing developer libraries, proprietary boilerplates, configuration scripts, and general algorithmic tools. To the extent any such tools are embedded in custom deliverables, InfraCodez grants the Client a perpetual, royalty-free, non-exclusive license to use them solely in connection with the delivered system.
- Open-Source Components: Deliverables frequently incorporate third-party open-source software and frameworks (e.g., WordPress under GPL, Laravel under MIT, JavaScript/CSS open-source packages). Ownership of such components remains governed by their respective open-source licenses.
7. Hosting, Cloud Infrastructure & Domain Terms
- Client-Owned Cloud Environments: Where services involve configuring Client accounts (e.g., AWS, Azure, Google Cloud, Cloudflare, or direct hosting), the Client maintains the primary billing relationship with the infrastructure provider and is responsible for all recurring infrastructure fees.
- Domain Registration & Renewals: The Client retains sole responsibility for maintaining active payment credentials for domain registrations and SSL renewals. InfraCodez is not liable for domain expiration or downtime caused by client registrar lapses.
- Upstream Cloud Outages: While InfraCodez architects systems for high availability and fault tolerance, we do not own or operate upstream hyperscale data centers. InfraCodez is not liable for downtime caused directly by third-party cloud hosts, telecommunications carriers, or global DNS network failures.
8. Maintenance SLA & Technical Support
- Maintenance Scope: Active maintenance agreements cover preventative security patches, CMS core updates, plugin compatibility testing, database optimization, and periodic encrypted offsite backups.
- Support Hours: Standard support is provided Monday through Friday, 9:00 AM – 6:00 PM EST, excluding major holidays. Critical incidents for active maintenance clients receive prioritized response windows defined in their plan.
- Unauthorized Modifications: InfraCodez cannot guarantee system stability if the Client or an unvetted third party installs unverified plugins, alters database schemas, or modifies core application code without our oversight. Troubleshooting repairs resulting from unauthorized alterations are billable at standard hourly engineering rates.
9. 30-Day Post-Launch Bug Warranty
- Warranty Period: For custom development projects, InfraCodez provides a thirty (30) calendar day warranty period commencing on the date of live production deployment. InfraCodez will repair, at no additional charge, any demonstrable functional defect where custom code fails to operate in conformity with the agreed written specifications.
- Exclusions: The warranty does not cover:
- Modifications made by the Client or third parties after handover.
- Server hardware failures or upstream hosting configuration alterations.
- Breaking changes or sudden deprecations made to third-party APIs (e.g., Stripe, Google Maps, CRM/ERP external APIs).
- Feature additions or scope expansions requested after delivery.
- Post-Warranty Support: Following the 30-day warranty, ongoing fixes and updates are handled under an active maintenance contract or billed at standard hourly rates.
10. Confidentiality
Each party agrees to hold in strict confidence all proprietary technical, business, and financial information disclosed by the other party (“Confidential Information”), including source code, database architecture, server access credentials, operational data, and business logic. Confidential Information may be disclosed only to employees and contractors who require access to perform project duties and are bound by equivalent non-disclosure terms.
11. Limitation of Liability
- Consequential Damages: To the maximum extent permitted by law, neither InfraCodez nor its directors, employees, or contractors shall be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, business interruption, or loss of data, arising out of or in connection with our services.
- Liability Cap: In all circumstances, the total aggregate liability of InfraCodez arising out of or relating to any project, SOW, or these Terms shall not exceed the total amount actually paid by the Client to InfraCodez for the specific project or billing cycle giving rise to the claim during the three (3) months immediately preceding the event.
12. Termination & Orderly Handoff
- Termination: Either party may terminate an ongoing maintenance plan upon thirty (30) days’ written notice, or terminate an active contract immediately upon written notice if the other party commits a material breach and fails to cure it within fourteen (14) days.
- Handoff: Upon termination and full settlement of all outstanding invoices for completed work, InfraCodez will deliver completed project files, transfer repository access, and securely purge client credentials in accordance with our Privacy Policy.
13. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Washington, USA, without regard to conflict of law principles. Any dispute that cannot be resolved through good-faith informal negotiation within thirty (30) days shall be settled exclusively in the state or federal courts situated in King County, Washington.
